Chad Davidson practices in the areas of corporate and commercial transactional litigation with a particular emphasis in taxation, estate planning and real estate. His tax practice includes matters relating to corporate, partnership and individual federal and state tax as well as representing businesses, individuals and estates in IRS and state tax audits. His commercial transaction practice includes the acquisition and/or sale of on-going businesses, through asset purchase transactions, stock/membership interest purchase transactions and mergers. Mr. Davidson regularly advises business clients on choice of entity, formation, matters related to start-up and initial growth, corporate restructurings and reorganizations, joint ventures and commercial financings, and he is responsible for drafting and negotiating the documents necessary to meet clients’ needs in these areas. He also provides advice to nonprofits on formation, corporate governance, tax exemption, registration with states’ charities divisions and compliance with tax exempt law.

Mr. Davidson's estate planning practice includes advising clients with respect to and the drafting of wills, trusts, and family limited partnerships, as well as representing estates in probate.

Mr. Davidson also practices in the area of real estate, where he handles the acquisition, sale and/or development of commercial and residential real estate. He represents both lessors and lessees in drafting and negotiating leases for commercial property and also analyzes and resolves real property title issues.

  • Served as Bond Counsel and Borrower’s Counsel - $80,000,000 Mississippi Business Finance Corporation Industrial Development Revenue Bonds (Bloomfield Holdings, LLC Project) Series 2013.
  • Served as Bond Counsel and Borrower’s Counsel - $62,240,000 Mississippi Business Finance Corporation Industrial Development Revenue Bonds (Frontier Development IV, LLC Project) Series 2014.
  • Served as Borrower’s Counsel in a $55,000,000 Construction Loan for a retail outlet mall.
  • Served as Borrower’s Counsel in a $62,000,000 securitized permanent financing.
  • Served as Seller’s Counsel in a $19,000,000 asset purchase.
  • Purchase of assets of three agricultural retail businesses valued at $35,000,000.
  • Sale of equity interests of four insurance and insurance related companies valued at $17,000,000.
  • Represented client before local and state taxing authorities in obtaining millions of dollars in state and local tax incentives.
  • Served as local company counsel for a $100,000,000 GO Zone Bond refunding and a separate GO Zone Bond issue of $100,000,000.
  • Real estate development by non profit tax exempt entity with multiple tenants and parcels being financed with GO Zone Bonds.
  • Analyzing and resolving real property title for issues necessary to obtain insurable title for approximately 80 individual urban residential parcels for a $35,000,000 mixed use and residential real estate development being financed with New Markets Tax Credits.
