Bart C. Bacigalupi

Bart Bacigalupi practices in the areas of general business matters, commercial finance, real estate, banking, leasing and other commercial matters. He represents clients in negotiating and drafting of a wide variety of general business contracts, real estate lease and purchase documents, service and procurement agreements, acquisition agreements, and organizational/governance documents. Commercial finance transactions include vessel finance, real estate finance, interest rate hedge matters, and equipment and inventory finance, representing both borrowers and lenders.


  • Representation of lenders and borrowers in regional, national and international secured loan transactions, ranging from $5 million to over $1.1 billion, providing working capital facilities, term loans, bond arrangements, and interest rate swap arrangements (ISDA agreements).
  • General representation of the real estate departments of a utility provider and a local university dealing with matters ranging from purchases and sales, right of way transactions, easement transactions, zoning issues and title issues.
  • Representation of landlords and tenants in leases of office buildings, shopping centers and other retail space.
  • General representation of local, regional and national companies in drafting general business contracts (such as service agreements, procurement agreements, non-competition agreements and indemnity agreements).
  • General corporate representation of companies with respect to formation and governance documents (limited liability companies, corporations, partnerships and other entities).
  • Representation of companies, as seller and as purchaser, in asset sale and acquisition transactions.
  • Representation of sellers and purchasers of office buildings, domestic and foreign flagged vessels, residential properties and franchise restaurant properties.
