Andrew V. Garner

Andrew Garner practices in the areas of business, taxation, finance, estate planning and estate administration law. He has assisted numerous clients in negotiating and drafting documents for a variety of general business transactions, including stock and asset purchase agreements, loan agreements, employment and independent contractor agreements, non-competition agreements and buy/sell agreements. Mr. Garner has also helped his clients organize their start-up businesses as corporations, limited liability companies and partnerships.

Mr. Garner’s tax practice includes advising clients as to the tax consequences of various transaction structures, assisting clients in tax controversy issues before the Internal Revenue Service and the Mississippi Department of Revenue, and helping clients obtain exemptions from state ad valorem tax. He has also assisted clients in designing and implementing their estate plans through the use of various types of trusts, family limited partnerships, durable powers of attorney and advanced health care directives.

Experience

  • Representation of both purchasers and sellers in negotiating and drafting documents for numerous corporate acquisition transactions.
  • Representation of a multi-national corporation in the reorganization of the legal entities used to conduct its Mississippi manufacturing operations.
  • Representation of numerous local, regional and national companies in applying for and obtaining exemptions from Mississippi ad valorem taxation.
  • Representation of start-up corporation with international operations in designing and implementing its equity structure.
  • Representation of companies in structuring and drafting documents for the admission of new equity owners.
  • Representation of individual clients with large estates in the structure of their estate plans, particularly with respect to changes in federal gift and estate tax laws enacted by the 2010 Tax Relief Act.
  • Represented an attorney accused of breach of fiduciary duty and racketeering, arising from the sale of a real estate development. The case resulted in a successful jury verdict, affirmed on appeal.
  • Represented an electrical and instrumentation subcontractor in prosecuting claims relating to construction of a power plant in California.
  • Represented a chemical manufacturer in successfully prosecuting civil antitrust claims against suppliers of raw materials who conspired to fix prices.
